Terms of Service: HelpCCMS

1. Who we are
HelpCCMS is a service of Solimedia, KVK 50720295, VAT NL001904913B24, at Molenstraat G 64a, 9663 SV Nieuwe Pekela, the Netherlands. Contact: solinger@solingertxt.nl.
2. The service
HelpCCMS is an online tool to bring in documentation you already have, structure it into topics and collections, edit it, and publish it as a web page or as structured data. We offer the service "as a service"; features may change over time.
3. Account
- You need an account. You are responsible for your login credentials.
- One person/organisation per account, unless otherwise agreed.
- We may refuse or terminate an account in case of abuse (see §7).
4. Subscriptions and payment
- Free: a complete, free version without the AI features. You can bring in content, structure it, edit it, and publish a collection as a hosted web page. Publishing again replaces the previous version; there is no limit on how often you republish.
- Pro: €100 per seat per month, plus €50 per additional seat on the same account. Adds the AI features and publishing at the level of an individual topic, with its own address.
- Genesis: the same product as Pro at a permanent 40% discount, limited to 500 subscriptions.
- Payment is handled via Stripe. Subscriptions are billed in advance per period and renew automatically until you cancel. Prices are exclusive of VAT where applicable.
- Prices are on the pricing page. Price changes do not apply retroactively to a running, already-paid period.
- Founding discount (Genesis) on cancellation: the permanent Genesis discount applies for as long as your subscription runs uninterrupted. If you cancel, your founding discount lapses permanently; founding slots do not become available again. If you return later, the then-current (regular) terms apply.
5. Cancellation and deletion
- You can cancel at any time via the Stripe portal; you keep access until the end of the paid period.
- You can fully delete your account yourself via your account page. This is irreversible: account, workspaces and content are erased and any running subscription is cancelled. We retain invoices under the statutory tax retention obligation.
- Right of withdrawal: HelpCCMS is aimed primarily at business users (B2B). For consumers: by taking immediate access to the (digital) service you expressly agree to immediate delivery and thereby waive the statutory 14-day right of withdrawal. You confirm this at checkout. (Config: the corresponding consent checkbox must be enabled in Stripe Checkout, see ops runbook/queue.)
6. Your content
- Your content remains yours. You keep all rights to what you import or create.
- You grant us a limited licence to process, store and display your content as necessary to provide the service (including AI processing to structure it, see the privacy policy).
- You warrant that you hold the rights to the content you import and that it does not infringe third-party rights or the law.
- To the extent your content contains third-party personal data, the data processing agreement (Annex 1) applies, which forms an integral part of these Terms.
7. Acceptable use
You do not use HelpCCMS for unlawful content, to infringe third-party rights, or to abuse or overload the service. Bulk-importing third-party content you have no rights to is not allowed. In case of violation, we may suspend or terminate access.
Fair use. The service is intended for normal, reasonable use within your subscription. In case of exceptionally high use we are happy to reach out, not to restrict you but to understand what you use HelpCCMS for and to look together at a fitting arrangement (for example a custom agreement). For structurally excessive use that disproportionately burdens the service, we may agree on further terms by mutual consultation. We see intensive use primarily as a sign that HelpCCMS delivers value.
8. Availability
We do our best to provide a reliable service, but we do not offer uninterrupted availability. Maintenance and outages may occur. We offer no guaranteed availability level (no SLA).
9. Liability
The service is provided "as is". To the extent permitted by law, our liability is limited to the amount you paid in the preceding 12 months. We are not liable for indirect damage or for loss of content of which you have not kept your own copy. This limitation does not apply in case of intent or wilful recklessness on our part.
10. Changes
We may change these Terms and the service. We announce material changes in advance. If you continue to use the service, you accept the amended Terms.
11. Governing law
These Terms are governed by Dutch law. Disputes are submitted to the competent court of the District Court of Northern Netherlands (Rechtbank Noord-Nederland), unless mandatory law (such as consumer protection) designates another competent court.
12. Language
These Terms are established in English; translations (including the Dutch one) are for information only. In case of a difference in interpretation, the English version prevails.
